TERMS OF SERVICE & TERMS OF ENGAGEMENT

These Terms of Service (“Terms”) govern all consulting, advisory, analytical, technical, strategic, and support services (“Services”) provided by Tyreek Allen, operating as Fullstack Enterprise (“Contractor,” “we,” “us”) to any individual or entity (“Client,” “you”).
Engaging with Fullstack Enterprise constitutes acceptance of these Terms.
1. NATURE OF SERVICES
Fullstack Enterprise provides analysis-driven services, including but not limited to:
- Business & decision analysis
- Strategy and operations advisory
- Systems design and diagnostics
- Analytics, reporting, and tooling guidance
- AI and workflow architecture support
We provide clarity, structure, and execution support — not motivation, hype, emotional reinforcement, or belief-based guidance.
2. ELIGIBILITY & INTAKE REQUIREMENTS (NON-NEGOTIABLE)
To engage in commercial services, Clients must meet all applicable conditions outlined below.
2.1 Required Documentation (Services Engagements)
For executional or implementation-oriented Services, Clients must provide, prior to engagement:
- A documented business plan, and
- A documented marketing plan
Verbal explanations, aspirational ideas, or informal notes do not qualify.
Clients without these documents may be declined, paused, or routed to advisory-only engagement at Contractor’s discretion.
2.2 Agency & Participation Requirement
Clients must:
- Actively participate in planning, research, and review
- Demonstrate independent effort and decision ownership
- Engage with data, constraints, and tradeoffs
Contractor does not replace Client thinking, accountability, or execution.
2.3 Reality & Data Acknowledgment
Clients acknowledge that:
- Decisions are constrained by economics, time, skills, and market behavior
- Aspirational projections are not substitutes for validation
- Refusal to engage with evidence or data voids Contractor responsibility for outcomes
2A. CONSULTING & ADVISORY ENGAGEMENTS
Consulting and advisory engagements are distinct from Services engagements and are advisory, diagnostic, or strategic in nature.
These engagements do not involve direct execution, implementation, or operational ownership unless explicitly stated in writing.
2A.1 Documentation Requirements (Consulting & Advisory)
For consulting or advisory engagements, Clients may be required, prior to or during the engagement, to provide:
- A documented business plan, and/or
- A documented marketing plan
In some cases, such documentation may be developed collaboratively as part of the consulting scope.
Documentation requirements will be clarified prior to engagement and may differ from executional Services requirements.
2A.2 Scope & Responsibility
In consulting and advisory engagements:
- The Client retains full responsibility for execution and outcomes
- Guidance, analysis, and recommendations do not constitute guarantees of results
- Any implementation or execution support must be explicitly agreed upon in writing
Absent such agreement, Contractor responsibility is limited strictly to advisory input.
2A.3 Visibility & Representation (When Applicable)
Visibility, transparency, or access requirements apply only when:
- Visibility is a material constraint of the Client’s business model, or
- Such requirements are explicitly included in the agreed consulting scope
Any such requirements will be communicated in advance and documented where applicable.
3. PRIOR ENGAGEMENTS, TRIALS, & VOLUNTARY SUPPORT
From time to time, Contractor may provide:
- Voluntary support
- Trial-period services
- Heavily discounted exploratory assistance
Such engagements may last approximately 30–120 days and are intended solely to:
- Establish baseline infrastructure
- Demonstrate feasibility
- Assess discipline, clarity, and commercial viability
No continuation, priority, or future commercial engagement is implied.
Contractor may discontinue trial or voluntary support at any time, without notice.
4. ENGAGEMENT PATHS
OPTION A — NON-COMMERCIAL / VOLUNTARY SUPPORT
- Assistance is discretionary, non-exclusive, and non-priority
- No timelines, deliverables, or performance expectations apply
- Contractor assumes no responsibility for:
- Revenue
- Growth
- Market fit
- Scalability
- Profitability
This option exists solely for exploratory or goodwill-based support.
OPTION B — COMMERCIAL / FOR-PROFIT ENGAGEMENT
Commercial engagement requires:
- Compliance with Sections 2 and/or 2A, as applicable
- A defined Scope of Work
- Fee-based compensation
Failure to meet participation, planning, or data requirements constitutes grounds for termination.
5. SCOPE DISCIPLINE
Only work explicitly documented in writing is in scope.
Any expansion of scope requires:
- A documented business rationale
- A documented marketing rationale
- Revised compensation at Contractor’s standard rates
Absent these conditions, no additional work will be performed.
6. MARKET VALIDATION & RESEARCH
Market research and validation services may be offered at Contractor’s discretion.
Findings are advisory. Rejection or disregard of findings voids Contractor responsibility for outcomes.
7. CONTENT, VISIBILITY, & REPRESENTATION REQUIREMENTS
7.1 Identity-Based Products
Public-facing participation is mandatory. Refusal constitutes grounds for termination.
7.2 Value-Based Products
Faceless, AI-assisted, or proxy-based content may be acceptable.
7.3 Entertainment Products
Evaluated case-by-case based on evidence and audience behavior.
8. COMPENSATION
8.1 Standard Compensation
Commercial services are fee-based only:
- Hourly rates, or
- Monthly retainers
Rates are defined prior to engagement.
8.2 Revenue Share (Exception Only)
Revenue or percentage-based compensation is expressly excluded unless:
- The business demonstrates consistent four-figure monthly revenue, and
- A separate written agreement is executed
9. DELIVERABLES & OWNERSHIP
- Deliverables are provided as-is
- Contractor assumes no obligation for maintenance, updates, or troubleshooting after delivery
- Contractor may retain anonymized or generalized case-study usage unless otherwise agreed
10. ATTRIBUTION & PUBLIC MENTIONS
Clients may not use Contractor’s name, brand, or likeness publicly without consent.
Voluntary attribution or acknowledgments are permitted if accurate, non-defamatory, and consensual.
11. TERMINATION
Either party may terminate engagement with written notice.
Contractor may terminate immediately if Client:
- Refuses required participation
- Disregards data or documented constraints
- Repeatedly proposes non-viable or undocumented scope expansions
- Exhibits behavior incompatible with structured execution
Upon termination, no future obligations are implied.
12. NO GUARANTEES
Client acknowledges that:
- Analysis does not guarantee outcomes
- Strategy does not guarantee revenue
- Visibility does not guarantee success
Contractor provides systems and decision support, not results.
13. GOVERNING LAW
These Terms are governed by the laws of the State of ___________.
